These Terms of Service ("Terms") are a legal agreement between you ("Customer", "you", or "your") and ForrTech Ltd trading as Lumenii ("Lumenii", "we", "us", or "our"), a company registered in England and Wales with company number pending registration, whose registered office is at London, UK.
By accessing or using the Lumenii platform at lumenii.io, or by clicking "Start free trial" or "Subscribe now", you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.
Lumenii provides a software-as-a-service platform that connects to your Microsoft 365 or Google Workspace tenant via read-only OAuth access, detects third-party AI applications in use across your organisation, applies FCA compliance risk scoring, and generates compliance documentation including AI inventory registers, SM&CR accountability maps, and FCA evidence packs ("the Service").
Where we offer a free trial period, you may use the Service at no charge for 14 days from the date of connection. No credit card is required for the free trial. At the end of the trial period, your account will move to a read-only view unless you subscribe. We reserve the right to modify or terminate trial periods at any time.
Subscriptions are offered on monthly or annual billing cycles at the prices set out on our pricing page at lumenii.io/pricing. All prices are in GBP and exclude VAT where applicable. Payments are processed by Stripe. Annual subscriptions are billed in full at the start of each subscription year. Monthly subscriptions are billed on the same date each month.
Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time through the billing portal accessible from your account settings.
You agree not to: use the Service for any unlawful purpose; attempt to gain unauthorised access to any part of the Service or its infrastructure; use the Service to process data beyond the scope of your authorised Microsoft 365 or Google Workspace tenant; resell or sublicence the Service without our written consent (except MSP plan customers operating within their agreed client limit); attempt to reverse engineer, decompile, or extract the source code of the Service.
Your use of the Service is subject to our Privacy Policy. Where you connect your Microsoft 365 or Google Workspace tenant, we act as a data processor on your behalf and process personal data only as necessary to provide the Service. Our Data Processing Agreement, which forms part of these Terms, sets out the basis on which we process personal data on your behalf.
The compliance risk scores, FCA rule citations, and documentation generated by Lumenii are based on publicly available regulatory sources including the FCA Handbook, UK GDPR, and related legislation. This information is provided for informational purposes only and does not constitute legal advice. You should seek independent legal or compliance advice before making decisions based on Lumenii's output. ForrTech Ltd accepts no liability for decisions made solely on the basis of Lumenii's automated compliance assessments.
The Lumenii platform, including its software, design, compliance risk database, FCA rule mapping methodology, and all associated documentation, is owned by ForrTech Ltd and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service during your subscription period. All other rights are reserved.
Data you input into or connect to Lumenii (including your organisational data from Microsoft 365 or Google Workspace) remains your property at all times.
Each party agrees to keep confidential any information disclosed by the other party that is marked as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
To the maximum extent permitted by applicable law, ForrTech Ltd's total liability to you for any claim arising out of or in connection with these Terms or the Service shall not exceed the total fees paid by you to ForrTech Ltd in the 12 months preceding the claim.
ForrTech Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with the Service.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
We warrant that the Service will be provided with reasonable skill and care. We do not warrant that the Service will be uninterrupted or error-free, or that the compliance information provided is complete or current. The Service is provided on an "as is" basis to the maximum extent permitted by law.
Either party may terminate these Terms at any time by providing written notice. We may suspend or terminate your access immediately if you breach these Terms, fail to pay amounts due, or if we are required to do so by law. On termination, your access to the Service will cease and we will delete your data in accordance with our Privacy Policy.
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We may update these Terms from time to time. Material changes will be notified to registered users by email at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
